Redwood Digital Group, Inc (Redwood or RDG) is NOT an SEC-registered or North Carolina-registered investment adviser. We are exempt from SEC registration as an Investment Advisor using the Private Fund Exemption. Redwood DOES NOT provide investment advice of any kind nor hold ourselves out to be investment advisors in ANY way. Redwood is solely the Investment Manager and General Partner to private funds which along with the Managers of Redwood are currently exempt from any registration as investment advisers with the SEC. The only client of RDG is Redwood Digital Fund I, LP (Fund or RDF I, LP), which is excluded from the definition of an Investment Company, and therefore, does not have to register as an investment company. As such, with Redwood Fund as the only client, RDG and the Redwood Managers are also exempt from registration as investment advisers with the State of North Carolina where Redwood operates. Redwood’s private fund Redwood Digital Fund I, LP can only accept Accredited Investors who complete full KYC/AML procedures. Redwood’s Managing Team is based in North Carolina and Israel. The Redwood entity was incorporated in Delaware. The Fund is a fully audited Delaware Limited Partnership entity, with well recognized service providers, accepting private investors under a subscription agreement. Founded in 2017, Redwood Digital manages exposure to digital assets via a thoughtful, adaptive, and holistic multi-strategy approach.
Founder David Yerger entered the digital asset industry in late 2015 with BitGo, to this day a key under-the-radar player in the security & custody portion of the digital asset industry. As a result, the concepts of security and decentralization was and are still very important for Redwood in many ways. By early 2016, David began informing family and friends what he was learning about Bitcoin, crypto and blockchain technologies, what they enabled, and how investors could get access to this nascent asset class.
The feedback and interest he received was so significant that he founded Redwood Digital Group and Redwood Digital Fund as an avenue to help investors more easily gain access to Bitcoin and other digital assets in a thoughtful, professional, protected, and efficient private fund structure.
Collectively David, Jared, and Jonathan have 20 years of experience in the crypto space. Jon worked for Societe Generale as a Quantitative Analyst before moving into Trading and eventually landing with Redwood in 2017. Jared worked in public accounting for Ernst & Young as an Advisory Services CPA prior to joining Redwood in 2018. Jared now leads the ship, but we always function as a team.
