Redwood is solely the Investment Manager and General Partner to private funds which along with the Managers of Redwood are currently exempt from any registration as investment advisers with the SEC. The only client of RDG is Redwood Digital Fund I, LP (Fund or RDF I, LP), which is excluded from the definition of an Investment Company, and therefore, does not have to register as an investment company. As such, with Redwood Fund as the only client, RDG and the Redwood Managers are also exempt from registration as investment advisers with the State of North Carolina where Redwood operates. Redwood’s private fund Redwood Digital Fund I, LP can only accept Accredited Investors who complete full KYC/AML procedures. Redwood’s Managing Team is based in North Carolina and Israel. The Redwood entity was incorporated in Delaware. The Fund is a fully audited Delaware Limited Partnership entity, with well recognized service providers, accepting private investors under a subscription agreement.
